Terms and conditions

These terms and conditions (the "Terms") govern the use of the Repax platform and any associated services (the "Application") provided by Repax ApS, VAT: DK45692167, Nørregade 33, 3. sal, 1165 Copenhagen, Denmark ("Repax"). By creating an account or using the Application, you accept these Terms on behalf of yourself and the company you represent (the "Customer").

The Application is a business to business service. It is not intended for use by consumers.

Definitions

The Application means the Repax Core software platform, including any additional modules or features made available by Repax.

Application data means data processed within the Application, including product specifications, material data, compliance reports, and any other data entered or generated by the Customer.

The user means any individual created by the Customer who accesses the Application using their own login credentials.

Usage data means data generated through use of the Application, including technical and traffic information such as operating system, browser type, IP address, session duration, and aggregated usage statistics.

Subscription means the active paid or free plan under which the Customer accesses the Application.

Order means a product entry or reporting unit as defined within the Application, which determines the Customer's applicable plan tier.

1. Acceptance of terms

1.1 These Terms are accepted when a Customer creates an account, accesses the Application, or otherwise indicates acceptance. The person accepting these Terms confirms they have the authority to do so on behalf of the Customer.

1.2 The Customer is responsible for ensuring that all account information, including company name, address and VAT number, is kept accurate and up to date.

1.3 Each user must be familiar with and act in accordance with these Terms at all times.

2. The application and access

2.1 The Application is provided as software as a service and is made available as-is. The Customer obtains a non-exclusive right to access and use the Application. No ownership of the Application or any copy thereof is transferred to the Customer at any time.

2.2 Repax offers a permanent free plan with limited functionality. Paid plans are available with extended functionality and higher order limits, billed either monthly or annually.

2.3 Login credentials are unique to each individual user and may not be shared. Any breach of this provision will be considered a material breach of these Terms.

2.4 The Application must not be used in any way that could damage Repax's name, reputation or goodwill, or that is in violation of applicable law or regulation.

2.5 Repax reserves the right to suspend access to the Application in cases of justified suspicion of misuse, abuse, or attacks on an account or the Application itself.

2.6 Automated extraction of data from the Application, including scraping, is not permitted.

3. Plans, upgrades and billing

3.1 The Customer's applicable plan is determined by the number of orders processed within the Application. If the Customer's order volume exceeds the limit of their current plan, the plan will be automatically upgraded to the next applicable tier with immediate effect.

3.2 The Customer will be notified of any automatic upgrade and the associated change in price. By continuing to use the Application, the Customer accepts the upgraded plan and its pricing.

3.3 Subscriptions are billed monthly or annually, as selected by the Customer at the time of purchase. Payment is due immediately upon the start of each billing period.

3.4 If payment is not received, access to the Application will be suspended immediately. Repax reserves the right to terminate the subscription if payment remains outstanding.

3.5 All prices are in EUR and are exclusive of VAT. Current pricing is available at www.repax.io/pricing.

3.6 Repax reserves the right to change pricing with one month's notice. Continued use of the Application after a price change constitutes acceptance of the new pricing.

4. Cancellation and termination

4.1 The Customer may cancel their subscription at any time through the Application. Cancellation takes effect at the end of the current billing period, whether monthly or annual, and no refunds are issued for the remaining period.

4.2 Upon cancellation, the Customer retains access to the Application until the end of the paid billing period.

4.3 Following the end of the billing period, the Customer's account will enter a 30-day grace period during which application data is available for export. After 30 days, all application data associated with the account will be permanently deleted.

4.4 Repax may terminate a subscription with immediate effect in the event of a material breach of these Terms, or in the event of the Customer's insolvency or bankruptcy.

4.5 Repax may terminate a subscription with six months' notice for any other reason.

4.6 Accounts on the free plan that have been inactive for more than 18 months may be closed by Repax with one month's notice. Inactivity is defined as no login activity on the account.

5. Application data

5.1 The Customer is the data controller for all application data entered into the platform. Repax processes this data as a data processor on the Customer's behalf, in accordance with the applicable data protection legislation.

5.2 Repax may use application data in anonymised form to maintain, develop and improve the Application.

5.3 Repax may share application data with third parties or authorities only where required by applicable law, court order, regulatory requirement, or in connection with insolvency proceedings.

5.4 Following termination of a subscription, application data will be retained for 30 days for the purpose of export, after which it will be permanently deleted.

6. Usage data

6.1 Repax is the data controller for usage data to the extent that it contains personal data. For further information on how Repax processes personal data, please refer to our privacy policy at www.repax.io/privacy-policy.

6.2 Repax may use usage data for statistical analysis and to improve the Application.

7. Service availability

7.1 Repax aims to maintain the highest possible level of uptime but accepts no liability for outages or disruptions, including those caused by factors outside Repax's reasonable control, such as power failures, internet disruptions, or telecommunications failures. The Application is provided as-is and Repax disclaims all warranties, whether express or implied.

7.2 In the event of an outage, Repax will work to restore normal service as quickly as possible.

7.3 Planned maintenance will wherever possible be scheduled between 21:00 and 06:00 CET. Where it is necessary to interrupt access outside these hours, Repax will provide notice in advance to the extent possible.

8. Changes to the application

8.1 Repax reserves the right to make updates, improvements and structural changes to the Application at any time, with or without notice. Such changes may affect services, features, and data within the Application.

9. Intellectual property

9.1 The Application and all information generated by it, excluding application data, is protected by copyright and other intellectual property rights and belongs to or is licensed by Repax. No intellectual property rights are transferred to the Customer at any time.

9.2 By uploading material to the Application, the Customer grants Repax a non-exclusive, worldwide licence sufficient to operate and deliver the Application. Material uploaded to the Application must not infringe the rights of any third party or contain content that is unlawful or in violation of applicable regulation. The Customer shall indemnify Repax against any loss arising from a breach of this provision.

10. Assignment

10.1 Repax may assign its rights and obligations under these Terms to a third party or a group company.

10.2 The Customer may not assign its rights or obligations under these Terms without the prior written consent of Repax.

11. Liability

11.1 Repax excludes all liability arising under or in connection with these Terms, whether in contract or tort, including for loss of revenue, consequential or indirect loss, loss of data, product liability claims, or loss arising from simple negligence.

11.2 Repax is not responsible for third-party solutions that are accessible through or integrated with the Application, including the accuracy, completeness, quality or reliability of any information or results obtained through such integrations.

11.3 Repax is not liable for actions taken by users of an account, or for any loss arising from unauthorised access to an account resulting from, for example, the absence of two-factor authentication or the use of weak passwords.

11.4 Regardless of the basis of any claim, Repax's total aggregate liability is limited to the total amount paid by the Customer in the 12 months preceding the event giving rise to the claim, and in any case shall not exceed EUR 1,000.

12. Indemnification

12.1 The Customer shall indemnify Repax against any claim or loss arising from product liability, third-party losses, or third-party claims, to the extent that such claims arise from the Customer's use of the Application.

13. Force majeure

13.1 Repax is not liable for any delay or failure to fulfil its obligations as a result of circumstances beyond its reasonable control, including but not limited to natural disasters, war, acts of terrorism, pandemics, regulatory orders, strikes, power outages, internet disruptions or other unforeseen events.

13.2 Repax is not liable for the failure of any supplier affected by a force majeure event as described in clause 13.1.

14. Confidentiality

14.1 Repax will treat all information it receives in connection with the Customer's use of the Application as confidential, except where disclosure is required under clause 5.3.

15. Changes to these terms

15.1 Repax may amend these Terms at any time. The current version of these Terms will always be available at www.repax.io/terms-and-conditions. Repax will aim to provide one month's notice of any material changes, communicated by email. Continued use of the Application after a change to these Terms constitutes acceptance of the updated Terms.

16. Disputes and governing law

16.1 These Terms are governed by Danish law. Any dispute arising from these Terms or the Customer's use of the Application shall be brought before Københavns Byret (Copenhagen City Court) as the court of first instance.

17. Validity

17.1 These Terms are valid from 8 April 2026 and replace any prior agreements or terms between Repax and the Customer.
